This agreement is between Downtown Digital, Mesa, Arizona ('Provider') and the client identified above ('Client'). Selected plan: Annual — $150 setup + $750/year.
1. Services
Downtown Digital ("Provider") will design, build, and deliver a mobile-friendly quote-request page or lead-capture site for the Client, including a quote request form that delivers customer inquiries to an email address the Client provides. Optional add-ons such as the Chat Concierge are included only if stated in writing.
2. Fees and Payment
The Client agrees to the pricing of the plan selected below. Setup fees are due before work begins. Recurring service fees are billed in advance on the plan schedule selected. Additional updates, changes, or support beyond the selected plan are billed at $50 per hour.
3. Ongoing Service
On the Monthly and Annual plans, the recurring fee covers hosting, routine maintenance, and minor content updates requested by the Client. On the One-Time plan, no ongoing service is included and any post-launch work is billed hourly.
4. Client Responsibilities
The Client will provide business information, contact details, service descriptions, images, and any other content needed, and will respond to requests for approval in a timely manner. The Client confirms it has the right to use all content it provides.
5. Cancellation and Refunds
Monthly service may be cancelled by either party with 30 days written notice. Annual service may be cancelled at the end of the paid term. Setup fees and fees for work already performed are non-refundable.
6. Ownership
Upon full payment, the Client owns the content and business information it supplied. Provider retains ownership of underlying templates, code frameworks, and reusable components, and grants the Client a license to use them as part of the delivered site for as long as this agreement remains in effect.
7. Domains and Third-Party Services
Domain registration and any third-party service fees are the responsibility of the Client unless otherwise agreed in writing. Provider is not responsible for outages or changes caused by third-party services.
8. Limitation of Liability
Provider makes no guarantee of specific business results, lead volume, or search rankings. Provider’s total liability under this agreement is limited to the amount paid by the Client in the three months preceding the claim.
9. Confidentiality
Each party will keep the other’s non-public business information confidential and use it only to perform this agreement.
10. Governing Law
This agreement is governed by the laws of the State of Arizona. Any dispute will be resolved in the courts of Maricopa County, Arizona.
11. Electronic Signature
By typing their name, drawing a signature, checking the acceptance box, and submitting this form, the Client intends to sign this agreement electronically. The signed agreement is securely stored with the selected plan, signature, signing timestamp, IP address, and browser information to maintain an electronic record and audit trail of the signing process.
